Terms of Service

1. The Service

NXIO provides a single OpenAI-compatible API endpoint that routes your requests to third-party large-language-model providers ("Providers") and bills you per token used. Model availability, context limits and prices are published in the model catalog and may change without notice as Providers change theirs.

The Service is provided as a preview release. Features, limits and pricing may change, and we may suspend the Service for maintenance at any time.

2. Accounts and API keys

You must provide accurate account information and keep your password and API keys confidential. Every request made with your keys is attributed to your account and deducted from your credits, whether or not you authorised it. Revoke a key immediately if you suspect it has leaked.

You are responsible for the conduct of anyone you allow to use your keys, including applications you build on the Service.

3. Credits and billing

The Service is prepaid. Credits are added to your account by NXIO (and, once available, through self-service payment) and are deducted per request according to the prices in effect when the request is made: prompt tokens, completion tokens (including reasoning tokens), cached prompt tokens at the cached rate, and per-request prices for models priced that way.

Before a request is forwarded we reserve an estimated amount ("hold"); after the Provider reports actual usage we release the hold and charge the actual cost. Requests that fail upstream are not charged. If a Provider does not report usage we estimate it with a tokenizer and mark the record accordingly.

Credits are non-transferable and, except where the law requires otherwise, non-refundable. Your usage, ledger and per-request costs are always visible in the dashboard, and you may export them.

4. Acceptable use

You agree not to use the Service to:

• violate any law or the rights of others, or generate content that is illegal in your jurisdiction;
• circumvent rate limits, spending limits or authentication, or probe the infrastructure of NXIO or its Providers;
• resell raw access to the API without a written agreement with NXIO;
• breach the usage policies of the Provider whose model you call. We may forward Provider policy notices to you and must suspend access that a Provider requires us to suspend.

5. Your content

You retain all rights to the prompts you send and the outputs you receive, subject to the Provider's own terms. You grant NXIO the limited right to process your content as needed to operate the Service: forwarding it to the selected Provider, logging it for billing verification and abuse prevention, and displaying it to you in the dashboard.

Outputs of large language models can be inaccurate. You are responsible for reviewing outputs before relying on them.

6. Availability and support

We aim for high availability but give no uptime guarantee. Live status is published on the Status page. Support is provided by e-mail on a best-effort basis.

7. Suspension and termination

We may suspend or close an account that breaches these Terms, creates security or legal risk, or has been inactive with a zero balance for more than 12 months. You may close your account at any time from Settings or by contacting us; unused credits are handled as described in section 3.

8. Disclaimer and limitation of liability

The Service is provided "as is". To the fullest extent permitted by law NXIO disclaims all warranties, and our total liability for any claim relating to the Service is limited to the amount you paid NXIO for credits in the three months before the claim arose. We are not liable for indirect or consequential loss, nor for the content or availability of Provider models.

9. Changes to these Terms

We may update these Terms. Material changes will be announced in the dashboard or by e-mail at least 14 days before they take effect. Continued use after that date constitutes acceptance.

10. Governing law and contact
